Property Rental Tax/Tax Forms
MSR is not responsible for fulfilling tax submission duties on behalf of homeowners. MSR will maintain and provide a report of the owner income for each rental.
Our services provide owners with the ability to independently manage their properties within MSR's guidelines while reducing the usual 40% to 45% property management fee most agencies charge. Owners retain responsibility for the approval and signing of each property rental agreement. MSR maintains the calendar for the home to ensure there are no double booking issues. Owners are free to book their home themselves as long as MSR is made aware to update the calendar. No fees are applied to the owner booking with the exception of the cleaning fee to ready the home for the next renter.
Our main mission is to drive traffic to the properties. Because we do not directly manage any properties, MSR is compensated only by our co-branding fee of 15% of each property rental total amount. To ensure increased bookings, MSR requires the mandatory use of their Credit Card Acceptance Gateway for all online payment transactions and all credit card fees will be deducted from owner payouts. Our income depends on our ability to keep your homes rented. We work diligently to ensure we provide the best property values available on the market.
MSR Select Vacation Rentals (MSR) has created a level of requirements herein called guidelines for each property participating in any of our publications. For our vacation rental listing service, we can assure that the level of quality each property will achieve with the compliance will be directly reflected in the value and return associated by the clientele it attracts.

EXCLUSIVE CO-BRANDING AGREEMENT
THIS CO-BRANDING AGREEMENT (the "Agreement") is made as of ______________(the "Effective Date"), by and between MIAMI SEASONAL RENTAL, LLC., a Florida corporation having a place of business at 382 NE 191st ST #24606 Miami, FL 33179 ("MSR Select Vacation Rentals"), and _________________, Vacation Rental Owner, having the principal place of business at _____________________________, ___________, ________ ("Property Owner").
WHEREAS, Property Owner maintains a Vacation Rental Property (the "Property Owner Site"), that provides home rental leasing; WHEREAS, MSR Select Vacation Rentals maintains websites on the Internet, currently located at http://www.RENTWITHCONFIDENCE.com (the "MSR Select Vacation Rentals Sites"), that provides an on-line portal for Select Vacation Rentals.
WHEREAS, Property Owner and MSR Select Vacation Rentals wish to establish and maintain a custom, listing-exclusive, co-branded center containing repackaged content from the Property Owner Site, including pictures, which will be a part of the MSR Select Vacation Rentals Sites, in order to promote the MSR Select Vacation Rentals brand and drive traffic to the MSR Select Vacation Rental Sites.
NOW THEREFORE, in consideration of the mutual covenants, representations and warranties set forth herein, the parties hereby agree as follows:
1. THE PROPERTY WEBSITE.
1.1 MSR Select Vacation Rentals will name an area, in which Property Owner content will be published (such as "Miami and Browse All Properties"). MSR Select Vacation Rentals and Property Owner will mutually agree upon the content including the display, appearance and placement.
1.2 Property Owner and MSR Select Vacation Rentals will work together regarding the on-going design and maintenance.
2. PROPERTY OWNER OBLIGATIONS.
2.1 Content License. Property Owner hereby grants to MSR Select Vacation Rentals, subject to the terms and conditions of this Agreement, a non-exclusive, nontransferable, worldwide, royalty-free license to use, copy, reproduce and display the editorial content and other data, branding and other identification provided by Property Owner to MSR Select Vacation Rentals in connection with this Agreement (the "Property Owner Content") on the MSR Select Vacation Rentals Sites:
(i) for publication throughout the MSR Select Vacation Rentals Sites; (ii) for the promotion of MSR Select Vacation Rentals Sites and in collateral advertising materials; and (iii) for such other purposes as are consistent with or otherwise authorized under this Agreement.
2.2 Delivery of Content. Property Owner agrees to deliver to MSR Select Vacation Rentals, by no later than fifteen (15) days after the Effective Date, in a format specified by MSR Select Vacation Rentals, the initial Property Owner Content required by this Agreement, including any photos, text, data, illustrations, graphical elements, animation or banner ads. All Property Owner Content delivered under this Agreement shall be consistent with the specifications for such Property Owner Content, and otherwise in accordance with, the terms of this Agreement, and any production schedules developed by the parties from time to time. Property Owner agrees that it will respond in a timely manner to be agreed upon by the parties to all reasonable requests made by MSR Select Vacation Rentals or its agents for updated Property Owner Content and refreshing of Property Owner Content for the MSR Select Vacation Rentals Sites.
2.3 Format. Property Owner will deliver the Property Owner Content in such "camera-ready" or digital format, as agreed to by the parties.
2.4 Editorial Guidelines. Property Owner shall ensure that the Property Owner Content complies with MSR Select Vacation Rental's editorial guidelines. MSR Select Vacation Rentals reserves the right to reject any and all content that does not meet MSR Select Vacation Rental's editorial guidelines. Property Owner will then be required to edit such content until all content provided by Property Owner complies with MSR Select Vacation Rental's editorial guidelines and standards. In the event that Property Owner fails, within five (5) days after submission by MSR Select Vacation Rentals, to provide MSR Select Vacation Rentals with necessary revisions thereto, such failure shall be deemed to be approval of MSR Select Vacation Rental's edits.
3.1 During the Term, (a) Property Owner will not enter into a relationship with a Competitive Company. For purposes of this Agreement, "Competitive Company" means any company that Property Owner reasonably presents as, and MSR Select Vacation Rentals reasonably agrees is, a direct competitor to Property Owner by distributing on-line content principally relating to vacation rentals, including, but not limited to, HomeAway and VRBO. During the Term, MSR Select Vacation Rentals agrees to give Property Owner the right of first refusal to participate in all promotion opportunities created or otherwise made available by MSR Select Vacation Rentals on channels or sub-channels created after the Effective Date of this Agreement, including sponsorships, anchor placements and any other content integration. If MSR Select Vacation Rentals proposes to create and make available Promos after the Effective Date, it shall give Property Owner written notice of its intention, describing the terms and conditions of participation in the Promos. Property Owners shall have fifteen (15) days from the giving of such notice to agree to participate in the applicable Promo upon the terms and conditions specified in the notice by giving written notice of its agreement to MSR Select Vacation Rentals.
4.1 Payment Schedule. In consideration of MSR Select Vacation Rentals' developing, maintaining and promoting the Property Owner Property pursuant to this Agreement, Property Owner shall pay to MSR Select Vacation Rentals a yearly property listing fee and a per rental fee in the amount set forth on Exhibit A.
5.1 MSR Select Vacation Rentals shall make inquiry reports available to Property Owner either online or in some other mutually agreed upon format. Such reports shall contain the number of inquiries and other metrics, as well as such other information as Property Owner may reasonably request, to the extent reasonable commercial efforts and current technology permit. Property Owner agrees to accept such reports provided by MSR Select Vacation Rentals as the official basis for measuring all services to be provided under this Agreement.
6.1 Data Ownership. MSR Select Vacation Rentals routinely collects data from MSR Select Vacation Rentals visitors to the MSR Select Vacation Rentals Sites. MSR Select Vacation Rentals shall retain all ownership, right, title and interest in and to any data provided to MSR Select Vacation Rentals by MSR Select Vacation Rentals users while directly on the MSR Select Vacation Rentals Site. Property Owner shall retain all ownership, right, title and interest in and to any data collected within the Property Owner Site including, but not limited to demographic information and email addresses submitted to Property Owner by users of the Property Owner Site.
6.2 Privacy. Property Owner agrees to treat all consumer data collected from MSR Select Vacation Rentals users on the MSR Select Vacation Rentals Site in accordance with MSR Select Vacation Rental's privacy and security policies (the "MSR Select Vacation Rentals Data"). MSR Select Vacation Rentals reserves the right to change such policies in its sole discretion from time to time. In no event shall Property Owner disclose or otherwise transfer to any person or entity any MSR Select Vacation Rentals Data that individually or in the aggregate identifies the identity, habits or transactions of the MSR Select Vacation Rentals users.
7. TERM AND TERMINATION.
7.1 Initial Term. This Agreement will become effective as of the Effective Date and, unless sooner terminated pursuant to Sections 3.1 or 10.2, shall remain effective for one (1) year from and after the Effective Date (the "Initial Term"). This agreement shall automatically renew for additional successive terms of twelve (12) months each at the end of the Initial Term ("Renewal Terms"), unless either party notifies the other in writing at least sixty (60) days prior to the end of the Initial Term. As used in this agreement, "Term" shall mean the Initial Term and the Renewal Terms, if any.
7.2 Termination for Breach. In the event of a material breach of this Agreement by either party, the non-breaching party may terminate this Agreement if such breach is not cured within thirty (30) days from receipt of written notice of such breach sent to the address of the breaching party as specified herein. Such termination shall be in addition to any and all other actions or remedies the parties may seek at law or equity with respect to a breach of this Agreement.
7.3 Effect of Termination. Upon the termination, expiration or earlier termination of this Agreement in accordance with its terms (the "Termination Date"):
(a) the rights and licenses granted by each party to the other pursuant to this Agreement shall automatically terminate;
(b) where applicable, each party shall return to the other party, within thirty (30) days from such Termination Date, all intellectual property, technology or other property in its possession used in connection with this Agreement that is proprietary to the other party;
(c) within sixty (60) days after such Termination Date, MSR Select Vacation Rentals shall remove and cease to use all Property Owner Content provided or made available for use in connection with this Agreement;
8.1 Assignment. Neither party may assign this Agreement, in whole or in part, without the other party's written consent (which will not be unreasonably delayed or withheld), except that no such consent will be required in connection with an assignment or transfer of this Agreement to (a) a party's successor in connection with a Change in Control of such party, provided that such successor is not a competitor of the other party, or (b) to any entity that is controlled by, under common control with, or controls a party.
8.2 Governing Law. This Agreement shall be interpreted and enforced in accordance with the laws of the State of Florida as applied to agreements made, entered into and performed entirely in Florida by Florida residents, notwithstanding the actual residence of the parties, without giving effect to any choice of laws of Florida that would require the application of the laws of a state other than Florida.
8.3 Notice. Any notice under this Agreement will be in writing and delivered by personal delivery, express courier, confirmed facsimile, confirmed e-mail or certified or registered mail, return receipt requested, and will be deemed given upon personal delivery, one (1) day after deposit with express courier, upon confirmation of receipt of facsimile or e-mail or five (5) days after deposit in the mail. Notices will be sent to a party at its address set forth below or such other address as that party may specify in writing pursuant to this Section.
8.4 No Agency. The parties are independent contractors and will have no power or authority to assume or create any obligation or responsibility on behalf of each other. This Agreement will not be construed to create or imply any partnership, agency or joint venture.
8.5 Force Majeure. Any delay in or failure of performance by either party under this Agreement will not be considered a breach of this Agreement and will be excused to the extent caused by any occurrence beyond the reasonable control of such party including, but not limited to, acts of God, power outages and governmental restrictions.
8.6 Severability. In the event that any of the provisions of this Agreement are held to be unenforceable, the remaining portions of the Agreement will remain in full force and effect.
8.7 Entire Agreement. This Agreement is the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding that certain Letter of Intent dated ________________, and any other agreements and communications (both written and oral) regarding such subject matter. This Agreement may only be modified, or any rights under it waived, by a written document executed by both parties.

SAMPLE RENTAL AGREEMENT
(Between Owners & Renters)
THIS RENTAL AGREEMENT is made and entered into by and between _________________ ("Owners"), whose Vacation Property is located at _________________ and _________________ (“Renter(s)”), registered at e-mail address _________________ with mailing address _________________ and phone number _________________ for the period commencing _________________ at 4:00pm and ending _________________ at 11:00am for the agreed upon sum of ________ USD.
RESERVATION/SECURITY DEPOSIT - Renter(s) reservation will be confirmed upon receipt of a refundable security deposit and owner approval. Peak period bookings generally require a larger refundable security deposit. Monthly bookings require 25% deposit as well as the damage deposit due at time of booking. Deposit will be held pending determination that upon departure Renter(s) have left the Vacation Property and contents in the same condition it was upon arrival, and there are no outstanding charges i.e. telephone, extraordinary cleaning services, repairs, damage, loss of inventory, excessive use of electricity, etc. at which time it will be returned to Renter(s), less any outstanding charges, within 5 business days from departure. In the unlikely event of additional cost over the security deposit, Renter(s) will be notified and billed or charged according to the form of payment on file.
Full rental payment must be received no later than 60 days prior to arrival or reservation may be cancelled without refund unless the reservation is made less than 60 days from the actual rental date, in which case payment is due at the time of reservation. As a courtesy, we offer a payment plan when applicable. If you select the payment plan 50% of the rental payment will be due 60 days prior to arrival and the balance will be due 30 days from arrival. Please note the cancellation policy remains the same whether the payment plan is chosen or not. If the Vacation Property Renter(s) reserved becomes not suitable or not available for occupancy, Renter(s) will be advised and relocated to a similar property or offered a full refund. Under no circumstances would Owners' liability exceed the rental amount paid.
DAMAGE AGREEMENT - Renter(s) are individually and severally liable and otherwise fully responsible for any and ALL Renter(s)/invitee(s) caused damages incurred to the Vacation Property, including, but not limited to all adjacent structures and premises, throughout the entire duration of their stay of occupancy. This includes, but is not limited to intentional and/or unintentional removal of Owners' and/or accidental damage to structure(s) and premises including, but not expressly limited to any and all fixtures, appliances and furnishings. Renter(s) deposit shall be charged at full cost of repair and/or current replacement, including labor and materials, removal and disposal, plus taxes and surcharges, as applicable.
EXCESSIVE GARBAGE & CLEANLINESS OF HOME - Renter(s) deposit shall be charged at full cost to return property to a rentable state. All debris, rubbish, and discards must be placed in garbage bag(s) and placed in the proper receptacles as indicated in each home. Soiled dishes must be placed in the dishwasher and cleaned. All dirty laundry must me placed on top of the washing machine. Unlike hotels, vacation rental properties must be returned to the owner in a reasonable state. Any and all additional excess cleanup will be charged against the security deposit.
HOME MAINTENANCE/HOLD HARMLESS - No guarantees are expressed nor implied regarding suitability or fitability for any particular purpose. Owners do guarantee that appropriate repair and/or replacement will be performed as soon as possible under prevailing circumstances. As such, it is the Renter(s) responsibility to immediately notify Owners of any and all difficulties that they incur during their stay so that appropriate repairs/replacements can be scheduled and performed. Inconveniences under which we may have no immediate control and which DO NOT warrant any refund of rental monies include: (1) breakdown of TV's, pool pump, pool heater, spa and/or other recreational appliances/devices, (2) power outages, (3) adverse road and/or weather conditions, (4) construction taking place in the area, (5) Vacation Property is not decorated and/or otherwise accommodated to suit the Renter(s) individual/personal taste(s).
All Renters and their invitees use the Owners' Vacation Property structures and premises at their own risk. Owners shall not be held liable nor otherwise responsible in any way for injury to any Renter(s) and/or their invitee(s), that is caused or permitted to be caused by the intentional or unintentional acts of said Renter(s) and/or invitee(s), or by the failure of structures, appliances (including pool pump, pool heater, spa and bbq), furnishings, and/or other equipment, whether by malfunction, misuse, acts of God/nature, and/or are otherwise naturally occurring. No guarantees are expressed nor implied as to the fitablity of utilities and/other services provided to the vacation property and adjacent structures and premises. No guarantees are expressed nor implied regarding the fitablity/suitability/compatibility of materials utilized in the construction of the vacation property and/or its contents.
Owners shall not be held liable nor otherwise responsible in any way for allergic recreations to it Renter(s) and/or invitee(s), caused or permitted to be caused by materials utilized in the manufacture of the Vacation Property and/or its contents, nor from mold and/or airborne spores, nor from pet/animal allergens, nor from chemical agents including, but not limited to appliances, linens, carpeting, utensils, fixtures, hot tubs and/or to other equipment.
By written or electronic endorsement of this Agreement, Renter(s)/invitee(s) hereby agree to forever hold-harmless and indemnify Owners from any liability/responsibility arising there from.
ATTORNEYS FEE/DEFAULT - If any legal action or proceeding (including default, non payments, etc.) arising out of or related to this Agreement is brought by either party to this Agreement, the prevailing party shall be entitled to receive from the other party, in addition to all other relief that may be granted, the reasonable attorney's fees, costs and expenses incurred in the action or proceeding by the prevailing party. The jurisdiction for any legal action or proceeding will be the State of Florida.
FORMS OF PAYMENT - The security deposit is preferred to be made through credit card: Visa, MasterCard, Discover or American Express. All remaining payments can be made through Visa, MasterCard, Discover, American Express, PayPal, Bank Transfer or Certified Check.
CANCELLATION POLICY - More than 60 days - you will receive your security deposit (minus $50 processing fee) and any rental payment returned; 60 days or less - forfeiture of rental payments and security deposit if another renter, with similar terms can not be found. The determination of 'similar replacement' will be the owners' alone.
OCCUPANTS - No more than
people are allowed to occupy the Vacation Property.

At least one (1) occupant must be over the age of 25 and sign the rental agreement.
RESPECT FOR NEIGHBORS - There is an enforced quiet time year round of 10pm to respect the neighbors. Concerning having guests in the home; absolutely no large parties. Parties in excess of 15 people without prior owner consent are prohibited. Should the owners receive noise complaints or the authorities are summoned to the home, the penalty would entail an automatic forfeiture of deposit and the Renter(s) and/or their invitees will be subject to immediate forced eviction from the Vacation Properties.
ARRIVAL is anytime after 4:00 PM on arrival date and strictly enforced. You will be charged $50 per hour for all hours prior to 4:00 PM if found occupying the home without consent.

ARRIVAL DUTIES require you to check your home upon arrival. Every effort is made to see that the home is in proper order before your arrival.
If this is not the case, please report any discrepancies immediately to the owner calling 1-954-699-8152. While in the home, if an emergency maintenance issue arises, please also immediately call (954) 960-7998 and choose extension 4 (24/7contact the owner.
DURING YOUR STAY you will be provided with linens, towels and beach towels. There is a welcome booklet in the home that describes the area and also indicates where you can locate the nearest supermarket, propane gas refill location, hospital and police station. Note - Please do not take bathroom towels or comforters to the beach.
DEPARTURE time is strictly enforced and is no later than 11:00 AM on your departure date when the property should be available for inspection/cleaning. Any exceptions must have prior approval from Owners. Failure to vacate the Vacation Property on the scheduled date of departure by our established check-out time of 11:00 AM shall result in immediate assessment of a fee equivalent to the sum of one (1) additional nights' rental rate, plus tax, with all such costs being charged against the the Renter(s) deposit and the Renter(s) and/or their invitees will be subject to immediate eviction from the Vacation Properties.

DEPARTURE DUTIES require you leave the home generally in the same order as your arrival.
Return all furniture to original location.
Put all trash in plastic bags and place in outside trash container.
Remove all used linens from beds and used towels from bathrooms and place in laundry area.
Check closets, dresser drawers, and under beds for personal belongings.
Close blinds and lock all windows and doors, including garage door if applicable.
Leave bathrooms and kitchen in reasonable order.
Leave all lights, televisions and appliances off. Refrigerator is to be left on.
It is your responsibility to leave the home in reasonable order. You will be charged if excessive cleaning is required.
RULES & REGULATIONS - NO PETS & NO SMOKING in the property. In order to preserve the integrity of the rental property, we ask that it be occupied in a quiet and dignified manner, protecting the premises and its contents against damage, loss or theft with adherence to all the rules and regulations of Miami-Dade County and the Owners. Renter(s) not in compliance may be asked to vacate the premises subject to forfeiture of rental and /or deposit money.
POOL/SPA DISCLAIMER/ASSUMPTION OF RISK - There is no lifeguard on duty. Persons using the pool and/or spa do so at their own risk and the Owners assume no responsibility for accident or injury. Vacation Property is equipped with a pool and a spa heated by an electric heat pump; when heated the maximum temperature is 83°. Please understand that it is not possible to guarantee the temperature of the pool which to some degree is dependent on the local weather. Guests should note that electrically heated pumps will warm a pool on a Florida pool home to the operating temperature of 75-85 degrees Fahrenheit in 24-48 hours - depending upon the ambient air temperature. Electrical pool heaters utilize a heat exchange pump. If the outside temperature at your vacation home drops below 55 degrees Fahrenheit, then the pool heater will not operate, and the pool will not be heated. If the overnight temperature drops below 50, the pool may not be able to return to the operating temperature range during the following day. Guests should also note that spa pools provided on vacation homes with electric heat pumps are not hot-tubs, and are not always designed to heat higher than the temperature of the pool. All should note that pool heat cannot be guaranteed, as sometimes mechanical devices fail, or environmental factors will not allow the pools to be heated. Guests must notify the owner of failure of pool heat on the day of occurrence, so that the temperature or the equipment can be checked by personnel. Owners will do their best to keep it operational; however, they cannot guarantee its operation all or any of the time of occupancy. Renter(s) should inspect on arrival. Owners will not be responsible to clean the pool/spa during Renter(s) stay; however normal maintenance of pool/spa service will be continued and Renter(s) must allow servicemen entry to pool area.
BARBECUE FEE - When provided, barbecues are for our guests enjoyment. Please be careful when using the equipment and clean up any spills straight away. The barbecue and surrounding area must be left in a clean and satisfactory condition. If the Owners deem the grill and area are left dirty, an extra cleaning charge will be made and deducted from the security deposit.
CLEANING FEE - A departure cleaning fee is required for all reservation periods. There will be an additional cleaning fee if house is not found in reasonable order.
PARKING - NO Commercial vehicles allowed to park on rental property ground.
TELEPHONE - U.S. and Canada toll free provided phone service.
KEYS - Home has a keyless entry system and code can be requested 24 hours before arrival.
STORM POLICY - No refund will be given unless: A: The National Weather Service orders mandatory evacuations in a "Tropical Storm/Hurricane Warning" area and/ or B: A mandatory evacuation order has been given for the "Tropical Storm/Hurricane Warning" area of residence of a vacationing guest. The day that the National Weather Service orders mandatory evacuation order in a "Tropical Storm/Hurricane Warning" area, we will refund: (1) Any used portion of rent from guest currently registered; (2) Any used portion of rent from a guest who is scheduled to arrive and wants to shorten their stay to come in after the Hurricane Warning is lifted; and (3) Any advance rents collected or deposited for a reservation that is scheduled to arrive during the Hurricane Warning period.
INSURANCE - IT IS STRONGLY RECOMMENDED THAT YOU AND ALL MEMBERS OF YOUR PARTY TAKE OUT HOLIDAY TRAVEL/MEDICAL INSURANCE TO COVER CANCELLATION FEES AND ANY OTHER LOSSES THAT MAY OCCUR. IT IS YOUR RESPONSIBILITY TO ENSURE YOUR COVERAGE IS SUFFICIENT.
THIS AGREEMENT MUST BE ELECTRONICALLY ENDORSED BY RENTER

Create a headline, property description and location description. Stage your home for photos. Take multiple pictures with a digital camera at different times of day or hire a photographer. Create captions for each photo.
Build a thorough set of directions. Build a list of instructions for using appliances, electronics and equipment at your property.
Set up an emergency contact sheet. Put together local vacation tips for your guests.
